Terms of Service

1. Background

Flurit AI ("we," "our," or "us") provides an AI-powered DevOps automation platform that manages cloud infrastructure, translates cloud resources into Infrastructure-as-Code, and detects infrastructure drifts. These Terms of Service govern your access to and use of our software, products, services, features, content, and trademarks (collectively, the "Platform" or "Service").

2. Modification

We reserve the right, at our discretion, to change these Terms at any time. We will provide notice of material changes at least 10 days before the changes take effect.

Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Platform.

3. Platform Access

Subject to your compliance with these Terms and applicable law, we grant you permission to visit and use the Platform. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

4. Subscription to the Service

Flurit AI grants you a non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the subscription term for your internal business purposes only. This license is subject to your compliance with these Terms and payment of applicable fees.

5. Restrictions on Use

You agree not to, and will not permit others to:

  • Sell, lease, sublicense, or otherwise transfer the Service to any third party
  • Circumvent or disable any security or other technological features or measures of the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Modify, translate, or create derivative works based on the Service
  • Use automated means (including bots, scrapers, or spiders) to access the Service
  • Impose an unreasonable or disproportionately large load on our infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Remove, alter, or obscure any proprietary notices on the Service
  • Develop, distribute, or use any service that competes with our Service
  • Send unsolicited communications or spam through the Service
  • Use the Service for any unlawful, harmful, or fraudulent purpose

6. Account

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Immediately notify us of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

7. Intellectual Property Rights

Title

Flurit AI retains all right, title, and interest in and to the Service, including all improvements, enhancements, modifications, patent rights, copyrights, trade secrets, trademarks, know-how, and usage data. These Terms do not grant you any ownership rights in the Service.

Use of Content

Content on the Platform is provided to you for your information and personal use only. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content, software, products, or services obtained from the Platform without our prior written consent.

8. Third Party Sources and Content

The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Flurit AI. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Flurit AI is not responsible or liable for any damage or loss caused by or in connection with your use of any third-party content, goods, or services. You assume all risks associated with interactions with third parties through the Platform.

9. User Content

Responsibility

You are solely responsible for any content, data, or information you submit, upload, or make available through the Service ("User Content"). You bear all risks associated with your User Content, including anyone's reliance on its accuracy, completeness, or usefulness.

Ownership

You represent and warrant that you own or have obtained all necessary rights, licenses, consents, permissions, and authority to submit your User Content and to authorize Flurit AI's use of your User Content as contemplated by the Platform and these Terms.

10. Feedback

Any feedback, comments, ideas, suggestions, or other information you provide to us about the Service ("Feedback") will not create any confidentiality obligation for Flurit AI. All Feedback becomes the sole property of Flurit AI, and we may use and exploit such Feedback freely without any restriction or obligation to you, including without any royalty obligation.

11. Information Description

We attempt to be as accurate as possible with content available on the Platform. However, we cannot and do not warrant that the content available on the Platform is accurate, complete, reliable, current, or error-free.

You assume all risks associated with your use of the content on the Platform. We reserve the right to change, modify, substitute, suspend, or remove any content at any time without notice.

12. Disclosure

Flurit AI reserves the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to:

  • Satisfy any applicable law, regulation, legal process, or governmental request
  • Enforce these Terms, including investigation of potential violations
  • Detect, prevent, or otherwise address fraud, security, or technical issues
  • Respond to user support requests
  • Protect the rights, property, or safety of Flurit AI, our users, or the public

13. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, available at flurit.ai/privacy-policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

14. Warranty Disclaimers

IMPORTANT NOTICE:

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FLURIT AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

We do not guarantee that the Platform will be available at all times or that it will be bug-free, secure, or free from viruses. Your reliance on any content, information, or third-party interactions obtained through the Platform is at your own risk.

15. Limitation of Liability

LIMITATION OF DAMAGES:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLURIT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF FLURIT AI ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO FLURIT AI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100 USD), WHICHEVER IS GREATER.

16. Indemnification

You agree to defend, indemnify, and hold harmless Flurit AI and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:

  • Your use of or inability to use the Platform
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your interactions with third parties through the Platform

17. Term and Termination

These Terms become effective upon your first access to the Platform and continue until terminated. Your subscription will automatically renew unless you or we terminate it.

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. We may also discontinue providing the Service at any time.

Upon termination, your right to use the Platform will immediately cease. Sections 7 (Intellectual Property Rights), 13 (Privacy Policy), 14 (Warranty Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 18 (Independent Contractors), 19 (Assignment), and 20 (General) will survive any termination of these Terms.

18. Independent Contractors

You and Flurit AI are independent contractors. Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Flurit AI.

19. Assignment

You may not transfer, assign, or delegate these Terms or your rights and obligations hereunder without our prior written consent. Flurit AI may assign or transfer these Terms or any rights or obligations hereunder at any time without restriction and without prior notification.

20. General

Service Changes

Flurit AI may discontinue or modify any aspect of the Platform at any time, including features, specifications, or functionality.

Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes arising from or relating to these Terms or the Service.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flurit AI regarding your use of the Platform and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Time Limitation on Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.
